These Terms and Conditions ("Terms") govern your access to and use of the website and services provided by Aiconic ("Aiconic," "we," "us," or "our"). By accessing our website, booking a call, or purchasing our services, you agree to these Terms. If you do not agree, please do not use our services.
01Our Services
Aiconic designs, builds, and manages backend business systems, including websites, funnels, automations, AI agents, custom applications, content, and a managed team to operate them. The specific scope, deliverables, and timeline of any engagement are defined in your selected plan, proposal, or order at the time of purchase.
02Eligibility
You must be at least 18 years old and able to enter into a binding contract to use our services. By agreeing to these Terms, you confirm that you meet these requirements and that any information you provide is accurate and complete.
03Plans, Payments, and Billing
- Fees, billing cycles, and what is included are described at the point of purchase for your selected plan.
- Subscription plans renew automatically each billing period unless cancelled in advance, and you authorize us to charge your payment method on file.
- Prices may change, and we will give reasonable notice before any change applies to a recurring plan.
- Unless stated otherwise in writing, payments are non-refundable. Project and hourly work is billed according to the agreed scope.
04Cancellations
You may cancel a subscription plan at any time, effective at the end of your current billing period. Cancellation stops future renewals but does not refund amounts already paid for the current period. Any specific cancellation terms in your plan or agreement apply.
05Client Responsibilities
To deliver our services effectively, we rely on you to:
- Provide timely access, information, content, and approvals we reasonably need.
- Ensure you have the rights to any materials, brands, or data you provide to us.
- Use the systems and accounts we build in a lawful and reasonable manner.
Delays or incomplete information from your side may affect timelines, and we are not responsible for delays caused by such gaps.
06Intellectual Property
You retain ownership of your brand, content, and data that you provide to us. Upon full payment, you own the deliverables created specifically for you, except for any third-party components, platforms, and our own pre-existing tools, frameworks, and methodologies, which remain the property of their respective owners or of Aiconic. You may not resell, copy, or redistribute our proprietary materials without written permission.
07Third-Party Tools and Platforms
Our services may involve third-party platforms, integrations, and software. Your use of those is subject to the third party's own terms. We are not responsible for the availability, performance, or actions of third-party providers.
08Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement and to use it only for the purpose of delivering or receiving the services.
09Disclaimers
Our services are provided on an "as is" and "as available" basis. While we work to deliver high-quality systems, we do not guarantee specific business results, revenue, or outcomes, as these depend on many factors outside our control. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.
10Limitation of Liability
To the fullest extent permitted by law, Aiconic will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total liability for any claim relating to the services will not exceed the amount you paid to us for the services in the three months before the claim arose.
11Indemnification
You agree to indemnify and hold harmless Aiconic and its team from any claims, losses, or expenses arising out of your use of our services, your content, or your breach of these Terms.
12Termination
We may suspend or terminate your access to our services if you breach these Terms, fail to pay, or use the services unlawfully. Provisions that by their nature should survive termination, such as payment obligations, intellectual property, confidentiality, and liability limits, will continue to apply.
13Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts located in Wyoming.
14Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Continued use of our website or services after changes take effect means you accept the updated Terms.
